Corporate law

We assist companies in all legal matters at every stage of their operations. Our services cover all issues from establishing a business to special cases relating to corporate law and to problem situations. Our clientele mainly consists of small and medium-sized companies from Pirkanmaa. We also have a significant number of limited liability housing companies and joint stock property companies as our customers.

When resolving a single case, we always strive to find a solution which is appropriate for the client’s business. In several cases, our customership is based on a long-term cooperation, which enables us to better identify our client’s unique requirements and operating environment.

In addition to the counselling that we provide in special cases, we create all documents necessary for the business, such as partnership agreements, articles of association and shareholders’ agreements, with expertise and according to the client’s needs. The areas of expertise of our firm include corporation and business acquisitions and divestments, mergers, de-mergers and other restructurings, as well as the related tax planning.

Contract law and tort law

The operating environment of companies, in particular, consists of a network of rights and the corresponding obligations. The rights and obligations are usually based on various contracts and commitments. Our attorneys have a broad experience and deep knowledge on many different contractual issues.

Problems related to the juridical liability of companies have risen to a more essential position lately. Our specialists can help you with detecting risks related to the juridical liability beforehand. It is necessary to identify these risks in order to manage them already when making the contract and, in particular, later on when executing the contract.
The long-term cooperation with our clients helps our specialists to understand each client’s business. This enables us to more efficiently improve the achievement of these goals, whilst also using various agreements of settlement.

We assist our clients in making all kinds of contracts. It is often beneficial for the client to consult us already during contract negotiations so that we can ensure a legally safe outcome which will conform to the client’s goals.

Naturally, our attorneys are available for our clients if any breach against the contract has occurred. To be able to submit various claims, any breach of contract requires a quick reaction.

Restructuring & Insolvency

Sometimes business operations do not succeed as planned. Companies can try to improve the economic situation of the company through either voluntary restructuring process or corporate restructuring according to the Restructuring of Enterprises Act. If these measures are not sufficient enough to reinvigorate the stumbling business, the company shall face bankruptcy proceedings.

Our attorneys have experienced a wide trust among public corporations, banks, insurance companies and other private creditors. By this, we continuously operate in various roles in all divisions of bankruptcy proceedings. Moreover, we have a long experience in administrator’s tasks, as they are specified in the Restructuring of Enterprises Act. A broad experience is essential for an efficient and successful handling of cases and especially for preparing for the insolvency.

We also handle the legal proceedings concerning actions for recovery and other cases related to insolvency.

Employment and Labour Law

Company’s own personnel is often the most important single resource for the operation of companies. A successful personnel policy and the proper management of personnel matters is necessary for the proficient business of companies. Issues under labour law often cause unnecessary problems.

We have expertise in all areas of labour law. Thanks to our broad experience, we can plan and implement various issues related to employment and labour law. Our area of expertise also covers issues related to the termination of employment contracts and the reduction in personnel, including cooperation procedures.

We have also assisted employees in illegal terminations of employment and other employment disputes.

As necessary, we can also represent our clients in other civil and occupational safety cases related to employment.

Real estate, housing and construction

Problem situations under real estate and construction law are more common nowadays. People are also more aware of the risks involved in these operations.

In the sale of real estate, the seller’s responsibility for providing information that may influence the contract of sale and, in particular, its correctness is more and more emphasised today. Moreover, the number of various subcontracting arrangements has significantly increased in the construction business. Dividing the construction contracts between a higher number of subcontractors has made the contractual relations and responsibilities between the customer and the contractors more complex. Thus, various contracts related to construction operations place a higher importance on the legal status of the parties.

We serve our customers in all legal issues pertaining to construction, housing, real estate and land use. We take part in negotiations on construction and land use. We also assist our clients in creating contracts and other documents related to those.
Our attorneys assist our clients in litigation pertaining to construction operations and land use, as well as in sales of real estate.

Inheritance Law

One should prepare for the matters of inheritance in advance. We create testaments for our clients and provide advice regarding inheritance issues. Gifts (advancements) given during one’s lifetime are often a good way to minimise the forthcoming inheritance tax. We provide assistance in these issues and create the necessary documents.

We take care of the estate inventories with expertise and create the distribution deeds on request by the shareholders in the estate when the division of an estate can be agreed upon. In disputed cases or when one of the shareholders is passive, the estate usually requires an estate distributor and/or an estate administrator. Our attorneys have a long experience in the tasks of an estate distributor and estate administrator.

Marriage, registered partnership, domestic partnership and children

The termination of a common household due to either a divorce or the end of a domestic partnership can involve various legal problems. Solutions related to the distribution of property often have a high economic significance to the separating spouses. They can prepare themselves for this in advance by making a marital contract or testament. Our attorneys have a long experience in creating these documents.

The distribution of property does not always involve disputes. Our attorneys are qualified to create the deeds of distribution when making the distribution with the spouses’ consent or when separating the property. In disputed cases, we counsel our clients in the distribution of property or act as an estate distributor appointed by the court. Our attorneys have a long experience in the tasks of an estate distributor related to the distribution of the spouses’ property.

We also handle issues pertaining to child custody and right of access, place of residence and maintenance. Our attorneys have also taken part in proceedings of custody disputes in administrative courts.

Dispute resolution

Our attorneys have a broad experience in the proceedings of various civil disputes. We have succeeded in resolving a remarkable share of disputes between our clients and their opponents through negotiations. This is often the quickest and, in an economical sense, the most reasonable way of acting in a case of conflict. If no harmony can be reached, litigation is often the only option. In cases of conflict, we try to reach the best possible outcome for our client through either a settlement or litigation.

In addition to the general courts, we operate in special courts, such as the Market court, Labour court, Insurance court and various appeal boards.

Our attorneys regularly act as counsels in arbitration proceedings. They also have experience and special knowledge in acting as arbitrators.

In addition to litigation and arbitration proceedings, we assist our clients in issues related to mediation. Some of our attorneys are mediators approved by the Finnish Bar Association.

Criminal law

Our specialists also have experience in the proceedings of challenging criminal cases. We have assisted both suspects and victims of crimes. The due process of the accused person, in particular, requires legal assistance during both the preliminary investigation and the actual litigation.

The victim of the crime, i.e. the injured party, often needs competent help to present any claims for compensation and summary penal orders that deviate from the prosecutor’s demands. As necessary, we also create investigation requests on behalf of our customers. For our clients, we file claims for the court and assist them in criminal cases at district courts and other court instances.

In some cases, the accused person is entitled to a counsel for the defence at the cost of the state regardless of his or her wealth. In other situations, the suspect or the accused is entitled to have public legal aid, depending on the case. Our lawyers examine, case-specifically, the possibilities of receiving public defence or legal aid.

About us

Legal services in the Tempo house in Pirkanmaa already for 35 years

Tempo Attorneys at Law Ltd was founded in 2011 when law firms of Paldanius & Mäkelä and Berglund Partners merged. Our firm serves companies, communities and private persons. Our firm is a subsidiary of the law firm Romo & Ilonen Oy.

The professional attorneys and other personnel of our law firm are available to you in all legal matters.

Our key areas of expertise include issues related to small and medium-sized firms, limited liability housing companies, joint stock property companies and construction. We serve on the areas contract law, bankruptcy, restructuring of enterprises and employment and labour law. We also have a strong focus in family and inheritance law, real estate law and criminal law.

People

Janne Vuorilahti

Janne Vuorilahti has worked in law firms since 1993. Vuorilahti has worked for Tempo and the preceding law firms since 1997. He has taken broad responsibility for the contractual matters of small and medium-sized companies and has assisted them in both general courts and arbitration court.

Insolvency is one of Vuorilahti’s main areas of expertise. Vuorilahti has held several positions of trust in the Finnish Bar Association. He has held the position of the chairman of the Häme department for the Finnish Bar Association. He is currently a member of the board in the Association.

Vuorilahti is also a member of the Law and Tax Committee of Tampere Chamber of Commerce.

Jarkko Lehtokannas

Jarkko Lehtokannas has worked for Asianajotoimisto Tempo and the preceding law firms since 2007. He made partner of our firm in 2012. Lehtokannas’ areas of expertise include assignments related to the real property law and construction. He also regularly engages in litigation proceedings in these areas of law in courts and arbitration courts. Lehtokannas also acts as administrator in bankruptcies and restructurings.

Along with his main occupation, Lehtokannas acts as a counsel at Kiinteistöliitto Pirkanmaa.

Hanna Räihä-Mäntyharju

Vice President of the Finnish Bar Association

Hanna Räihä-Mäntyharju’s specialises in family and inheritance law, contract law, mediation, arbitration and litigation. Hanna Räihä-Mäntyharju has a solid background in the tasks of an administrator of an estate and estate distributor. She has completed the arbitrator training by the Finnish Bar Association and has acted as an arbitrator. Hanna Räihä-Mäntyharju is also a highly experienced lecturer and trainer.

Hanna Räihä-Mäntyharju has held, and still holds, several positions of trust in the Finnish Bar Association. She currently holds the position of  Vice President of the Finnish Bar Association.

Pekka Warjus

Pekka Warjus has earned his spurs in, for example, Oy Tampella Ab and Metsä Group. He has worked as an in-house lawyer for over 20 years, answering to the company’s legal matters on a global scale. During his career, he has taken part in several mergers and acquisitions, in Finland and in 20 other countries. He has been responsible for the companies’ contractual issues and has settled disputes related to them.

Warjus has acquired special know-how in issues related to companies’ real property and environmental permits and has acted as a legal adviser in housing and construction projects. He has worked in various tasks of a company in USA for five years. Warjus has familiarised himself with tax issues as the manager responsible for the company’s tax matters.

Warjus is a member of the finance committee of Tampere Chamber of Commerce and of the International Fiscal Association dealing with tax matters.

Tapio Pihlaja

Aleksi Pakkanen

Aleksi Pakkanen started working for Asianajotoimisto Tempo in January 2017. Prior to Tempo, Aleksi has worked as an associate in another law firm, as a prosecutor and in District Court.  Pakkanen has been trained on the bench in 2015 at District Court of Pirkanmaa and he continued as a district judge for the year 2016. Thus, Pakkanen has a solid experience in criminal law and litigation.

Iiris Kukkonen

Iiris Kukkonen completed the Bar Examination of the Finnish Bar Association in 2015.
